Terms of Service

1. Acceptance of Terms

These Terms of Service (the "Terms") govern access to and use of Ecomtoro's websites, applications, APIs, and related services (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility and Accounts

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service. You are responsible for the accuracy of the information you provide and for safeguarding your account credentials. You must promptly notify us of any unauthorized use of your account.

3. Subscriptions, Trials, and Billing

  • • Paid plans are billed in advance on a recurring basis (e.g., monthly or annually) and are non-refundable except where required by law.
  • • Free trials, if offered, convert to paid subscriptions unless you cancel before the trial ends.
  • • You authorize Ecomtoro and our payment processors to charge your payment method for applicable fees, taxes, and any overage or add-on charges.
  • • Pricing and features may change. We will provide notice of material changes in accordance with Section 14 (Changes).
  • • You may cancel at any time via your account settings. Upon cancellation, access continues until the end of the current billing period.

4. Acceptable Use

You agree not to misuse the Service. Prohibited activities include: violating laws or third-party rights; uploading or processing unlawful, harmful, or infringing content; attempting to access non-public areas; interfering with or disrupting the Service; reverse engineering or scraping except as permitted by law; and using the Service to create or train competing models without our prior written consent.

5. Your Content and AI-Generated Output

  • • "Input" means prompts, data, and materials you submit to the Service. "Output" means content generated by the Service based on your Input.
  • • As between you and Ecomtoro, you retain ownership of your Input. Subject to these Terms, Ecomtoro assigns to you any rights it may have in Output generated for your account, to the extent permitted by applicable law and third-party provider terms.
  • • You grant Ecomtoro a worldwide, non-exclusive license to process Input and Output to provide, maintain, secure, and improve the Service, and to comply with law. You may opt out of certain improvement uses where available in product settings.
  • • You are responsible for reviewing Output, including for accuracy, legality, and suitability for your use case. Output may be inaccurate, incomplete, or outdated and should not be relied upon as professional advice.
  • • Do not submit sensitive personal data unless our agreement or features expressly support such processing.

6. Intellectual Property

The Service, including all software, interfaces, designs, trademarks, logos, and content (excluding your Input and Output), is owned by or licensed to Ecomtoro and is protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, sell, or lease any part of the Service.

7. Third-Party Services and Links

The Service may integrate with or link to third-party services (including model providers, data connectors, and payment processors). Your use of those services is subject to their terms and privacy policies. Ecomtoro is not responsible for third-party services.

8. Confidentiality

Each party may access the other party's confidential information. The receiving party will use such information only to perform under these Terms and will protect it using reasonable care. These obligations do not apply to information that is public, independently developed, or rightfully obtained from a third party without confidentiality obligations.

9. Term and Termination

  • • We may suspend or terminate your access immediately for material breach, security risk, non-payment, or as required by law.
  • • You may terminate at any time by canceling your subscription. Certain provisions survive termination, including Sections 4–13.

10. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR RELIABILITY.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ECOMTORO AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. ECOMTORO'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO ECOMTORO FOR THE SERVICE IN THAT PERIOD.

12. Indemnification

You will defend, indemnify, and hold harmless Ecomtoro and its affiliates from and against any claims, liabilities, damages, losses, and expenses arising from or relating to your Input, your use of the Service, or your violation of these Terms.

13. Governing Law; Venue

These Terms are governed by the laws of the United States, without regard to conflict-of-law rules. If a court of competent jurisdiction is located in your residence country or state by mandatory law, then venue will be there; otherwise, venue will be the courts located where Ecomtoro is based.

14. Changes to Terms

We may modify these Terms from time to time. If a change is material, we will provide reasonable notice through the Service or by email. Except where prohibited by law, changes take effect upon posting. If you continue using the Service after changes become effective, you accept the updated Terms. For material changes, we will try to provide at least 30 days' notice prior to the effective date.
